NONE OF THE FOREGOING PARTIES SHALL BE LIABLE FOR ANY THIRD-PARTY CLAIMS OR LOSSES OF ANY NATURE, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, PUNITIVE OR CONSEQUENTIAL DAMAGES.

IDEMNIFICATION

User agrees to defend, indemnify and hold harmless i-fact@nalysis, Inc., its affiliates and their respective directors, officers, employees, third parties, affiliated or related entities, suppliers, licensors and agents from and against all claims, demands, actions, losses for damages of all kinds and expenses, including attorneys’ fees, arising out of the use of i-factanalysis.com, your breach of any provision, omissions, negligent acts by User.

TERMINATION

i-fact@nalysis, Inc. may terminate this Agreement at any time. Without limiting the foregoing, i-fact@nalysis, Inc. shall have the right to immediately terminate User in the event of any conduct by User which i-fact@nalysis, Inc., in its sole discretion, considers to be unacceptable, or in the event of any breach by User of this Agreement.

GENERAL

These TOU, together with any additional terms to which you agree when using i-fact@nalysis, Inc.’s web site, constitute the entire and exclusive statement of the agreement between you the User and i-fact@nalysis, Inc. with respect to the subject matter hereof, superseding any prior agreements or negotiations between you, the User and i-fact@nalysis, Inc. with respect to such subject matter. These TOU and the relationship between you, the User and i-fact@nalysis, Inc. shall be governed by the laws of Delaware as applied to agreements made, notwithstanding your actual place of residence. All lawsuits arising from or relating to these TOU or your use of the i-fact@nalysis, Inc.’s web sites shall be brought in the Federal or State courts located in Delaware, and you hereby irrevocably submit to the exclusive personal jurisdiction of such courts for such purpose. The failure of i-fact@nalysis, Inc. to exercise or enforce any right or provision of these TOU shall not constitute a waiver of such right or provision. If any provision of these TOU is found by a court of competent jurisdiction to be invalid, you the User nevertheless agree that the court should endeavor to give effect to the intentions of i-fact@nalysis, Inc. and you as reflected in the provision, and that the other provisions of these TOU remain in full force and effect. The section titles in these TOU are for convenience only and have no legal or contractual effect. These Terms shall remain in full force and effect notwithstanding any termination of your or the User of the i-fact@nalysis, Inc. web site. These TOU will be interpreted without application of any strict construction in favor of or against you, the User or i-fact@nalysis, Inc. These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, the User, but may be assigned by i-fact@nalysis, Inc. without restriction.
